First, check whether a Sdn Bhd fits your plans
A Sdn Bhd is a Malaysian private limited company. It can be useful when you want a company structure for co-ownership, commercial contracts or future investment. It also brings continuing administration, even before the business becomes profitable.

What are the requirements to register a Sdn Bhd?
A private company can have one shareholder and one director, including the same individual when the relevant requirements are met. How the Sdn Bhd registration process works
1. Confirm the scope and your responsibilities
Ask for a written list of deliverables. Does the engagement cover incorporation only, or also secretary appointment, a registered office and banking support? Identify who supplies each document and who approves the final information.

2. Apply for the company name and incorporation
SSM describes two routes: direct incorporation combines the name application with incorporation, while separate name reservation allows incorporation to follow within the approved reservation period. 3. Respond to queries and receive the registration outcome
Keep the founders available for any clarification or document request. After approval, retain the registration notice and the company documents in an organised folder. 4. Complete the setup after incorporation

Compare the full first-year scope, not just the headline incorporation price. A government fee, a professional-service fee and money invested in the company belong in different parts of your budget.

Paid-up capital is funding contributed for shares in the company; do not label it an SSM registration charge. The Companies Act records amounts paid or treated as paid on members’ shares separately from registration fees. How long does registration take?
Ask for an estimate that starts when complete, verified information is ready. A timeline beginning with your first enquiry may include decisions and document gathering that are outside the submission process.
Separate these milestones when planning your launch:
- Ready to submit: ownership, identity information, activities and addresses are settled.
- Incorporated: SSM has approved the company.
